1. Scope & Work Orders

All work is performed under fixed-price Work Orders issued by Restoricon, LLC. Each Work Order defines scope, specifications, timeline, and compensation. No work shall commence without a signed Work Order.

2. Compensation & Payment Terms

• Fixed pricing per Work Order — no cost-plus or time-and-materials without written change order.
• Progress payments per schedule defined in each Work Order.
• Final settlement within 7 calendar days of inspection sign-off and punch-list completion.
• Invoices submitted via email to restoricon@gmail.com with Work Order reference.

3. Insurance & Compliance

• Active CT Home Improvement Contractor (HIC) license or applicable Trade License required.
• Minimum $1,000,000 General Liability Insurance; Certificate of Insurance (COI) naming Restoricon, LLC as additional insured.
• Workers' Compensation Insurance or valid Statutory Waiver on file.
• All licenses and insurance must remain current throughout engagement.

4. Safety, Quality & Scope Compliance

• Compliance with OSHA, CT building codes, and site-specific safety plans.
• Work performed in a workmanlike manner per industry standards and manufacturer specifications.
• No scope deviations without written Change Order approved by Project Manager.
• Daily cleanup and site protection required.

5. Independent Contractor Status

Subcontractor is an independent 1099 contractor. No employee relationship, partnership, or joint venture is created. Subcontractor is solely responsible for all taxes, benefits, and employment obligations for their personnel.

6. Term & Termination

• Agreement commences upon execution and continues until terminated by either party with 30 days written notice.
• Restoricon may terminate immediately for cause (safety violations, license/insurance lapse, quality failures).
• Completed Work Orders survive termination and are paid per terms.

7. Confidentiality & Non-Solicitation

Subcontractor shall not disclose project details, client information, or Restoricon's proprietary processes. Non-solicitation of Restoricon clients and employees for 12 months post-engagement.
